(Collectively, the "Parties")

1. Purpose

The Company possesses certain confidential and proprietary information that it may disclose to the Candidate for the purpose of evaluating or pursuing a business relationship. The Candidate agrees to receive such information under the terms and conditions of this Agreement.

2. Confidential Information

3. Obligations of Candidate

The Candidate agrees to: (a) hold the Company's Confidential Information in strict confidence; (b) not disclose such Confidential Information to third parties without the prior written consent of the Company; (c) use such Confidential Information solely for the purpose described above; and (d) protect the Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
