What makes an NDA hold up
Courts tend to enforce confidentiality agreements that protect information that is genuinely secret, for a period that makes sense, without trying to silence things the law says can’t be silenced. That is why the templates here:
- Define the information by category and by what a reasonable person would treat as confidential, instead of “everything, forever.”
- Carve out public information, things the recipient already knew, information from third parties and independent development.

Is the NDA generator really free?
Yes. There is no sign-up, no trial and no paywall on the PDF or Word download. The document is assembled in your browser from the clauses on this site.
Is an NDA made with a generator legally binding?
An NDA is a contract, so it can be binding when the usual contract elements are present: the parties agree to it, it is supported by consideration (for example, access to the information or a job), its terms are reasonably clear, and it doesn’t try to do something the law forbids. A template can meet those tests, but whether a particular clause will be enforced depends on the facts and the governing law.
Which template should I pick?
Use Mutual when both sides will share sensitive information, One-way when only you will, Employee for staff, Contractor for freelancers and agencies, Investor when opening a data room, and Interview for candidates who will see internal material or do a take-home task.
Do you store what I type?
Your draft is kept only in your own browser’s local storage so you can come back to it, and the “Clear everything” button deletes it. Nothing is sent to a server unless you click “Draft with AI”, which sends only the description box and the template type.
Can I download the NDA as a PDF or Word file?
Both. The PDF is ready to send for signature; the .docx file opens in Word or Google Docs if you want to edit the wording.
Do I need to notarize an NDA?
Generally no. NDAs are ordinary commercial contracts and are normally valid when signed, including by electronic signature under the US E-SIGN Act. Notarization is only needed if a specific law or the other party requires it.
