Six templates, one engine

Every NDAForge agreement shares the same well-tested core: a definition of confidential information, the four standard exclusions, use and disclosure limits, a legally-required-disclosure clause, return or destruction, and remedies. What changes is who is protected and which extra clauses the situation calls for.

What makes an NDA hold up

Courts tend to enforce confidentiality agreements that protect information that is genuinely secret, for a period that makes sense, without trying to silence things the law says can’t be silenced. That is why the templates here:

  • Define the information by category and by what a reasonable person would treat as confidential, instead of “everything, forever.”
  • Carve out public information, things the recipient already knew, information from third parties and independent development.
  • Separate the term from survival: a sharing window, then a confidentiality tail, with trade secrets protected as long as they stay secret. See how that works.
  • Keep protected rights intact: reporting to regulators, the federal Speak Out Act and the Defend Trade Secrets Act notice. What an NDA can’t stop.

A specific situation, or an NDA you were sent?

Need one for a specific situation? See NDA templates by situation: software development, app ideas, selling a business, real estate and more.

Paste it into the NDA review tool for a plain-English summary of what you’d be agreeing to, the one-sided bits, and questions to ask before you sign.

A template, not legal advice. NDAForge generates standard-form documents from your answers. It is not a law firm and doesn’t review your situation. Laws differ by state and country; for high-value deals, employment matters or anything unusual, have a licensed attorney review the agreement before anyone signs.

Frequently asked questions

Is the NDA generator really free?

Yes. There is no sign-up, no trial and no paywall on the PDF or Word download. The document is assembled in your browser from the clauses on this site.

Is an NDA made with a generator legally binding?

An NDA is a contract, so it can be binding when the usual contract elements are present: the parties agree to it, it is supported by consideration (for example, access to the information or a job), its terms are reasonably clear, and it doesn’t try to do something the law forbids. A template can meet those tests, but whether a particular clause will be enforced depends on the facts and the governing law.

Which template should I pick?

Use Mutual when both sides will share sensitive information, One-way when only you will, Employee for staff, Contractor for freelancers and agencies, Investor when opening a data room, and Interview for candidates who will see internal material or do a take-home task.

Do you store what I type?

Your draft is kept only in your own browser’s local storage so you can come back to it, and the “Clear everything” button deletes it. Nothing is sent to a server unless you click “Draft with AI”, which sends only the description box and the template type.

Can I download the NDA as a PDF or Word file?

Both. The PDF is ready to send for signature; the .docx file opens in Word or Google Docs if you want to edit the wording.

Can I make my own NDA?

Yes. No law requires a lawyer to draft an NDA. It needs the parties, a purpose, a definition of confidential information, exclusions, obligations, a term and signatures, all of which the generator fills in. For high-value or unusual deals, ask a lawyer to review it.

How do I sign an NDA online?

Download the PDF and upload it to any e-signature service, or sign it on screen in a PDF reader and send it back. In the US the federal E-SIGN Act generally gives electronic signatures the same legal effect as handwritten ones.

Is an NDA illegal?

No. NDAs are ordinary, lawful contracts. Certain clauses are restricted, for example pre-dispute gags on sexual harassment claims (Speak Out Act) or clauses that stop someone reporting to the SEC, which is why every template here includes protected-rights language.

Do I need to notarize an NDA?

Generally no. NDAs are ordinary commercial contracts and are normally valid when signed, including by electronic signature under the US E-SIGN Act. Notarization is only needed if a specific law or the other party requires it.
